Formation, LLC: Terms and Conditions for Consulting Services

By accepting these Terms and Conditions, You acknowledge that:

A. You have read these Terms and Conditions,
B. You understand them, and
C. That You accept and agree to be bound by them.

If You do not agree, do not understand, or do not accept these Terms and Conditions, please do not accept them.

You are hereby engaging Formation, LLC (“Formation”) to advise You on matters related to Mergers & Acquisitions. Formation will provide You with general advice on Mergers & Acquisitions and Transaction Matters. Formation will not provide You with any legal or accounting advice. 

Formation’s services will be delivered remotely. Formation will be generally available by phone, videoconference, or email during normal business hours. Formation may be available by phone, videoconference, or email outside of normal business hours at Formation’s sole discretion.

The Term of this Agreement will commence upon Your acceptance of this Agreement and payment for this 10-hour block of Consulting and will continue until this 10-hour block has been used or one-year from the date of the commencement of the Term of this Agreement. By accepting the terms of this Agreement, You agree and understand that You are committing to pay Formation a Consulting Fee at the rate of $450.00 per hour. Consulting Fees are to be paid in advance, are non-refundable, and are to be paid electronically.

You agree to indemnify, defend, and hold harmless Formation from and against all liability, claims, actions, damages, fines, expenses, costs, and any other losses, including attorney's fees, incurred by Formation, arising as a result of or in connection with this Agreement.

Formation abides by a strict no refund policy. By accepting the terms of this Agreement, You agree and understand that You are foregoing the right to claim any refund of Consulting Fees, even for unused hours, paid to Formation.
